In these Insight Timer Teacher Terms (the “Teacher Terms”), “we,” “us,” “its” and “our” refer to Insight Network, Inc. (“Insight Timer”) and “you”, “your” refer to you or the entity that you represent. If you’re agreeing to these Teacher Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Teacher Terms on that organization’s or entity’s behalf and bind them to these Teacher Terms (in which case, the references to “you” and “your” in these Teacher Terms, except for in this sentence, refer to that organization or entity).
These Teacher Terms incorporate by reference and you hereby agree to the Terms of Service (including the Community Guidelines); these Teacher Terms are not intended to replace the Terms of Service, including with respect to the provisions thereof regarding disclaimers, arbitration, indemnification and limitations of liability (collectively, “Terms”). In the event of a conflict between these Teacher Terms and the Terms of Service, these Teacher Terms will control with respect to the subject matter herein. In order to become a Teacher, you must first register on the site here to create a Teacher account. These Teacher Terms incorporate by reference and you hereby agree to the Content Guidelines and Policies.
Content
These Teacher Terms apply to parties signing up to use the services as a teacher and submitting content (as defined in the Terms of Service) on the Services (such parties, “Teachers” and such Content, “Teacher Content”).
For clarity, Teacher Content may include recorded meditations, live sessions, and all other interactions you may have with users on the Services, and expressly includes any Content that you have already submitted on the Services, prior to the date you accepted these Teacher Terms; if you do not want such Content to be subject to these Teacher Terms, you may remove such Content from the Services. You understand and agree that the Services are solely to provide a general wellness and entertainment platform and not to provide Healthcare Services (as defined in the Terms of Service). Accordingly, you will not provide mental, behavioral, or other Healthcare Services , including any diagnosis, treatment, amelioration of any injury, illness or disease, to other users through the Services, including through your Teacher Content. If we determine you are providing Healthcare Services through the Services, including through your Teacher Content, we reserve the right to terminate your access to the Services immediately, without notice or liability to you. You agree to indemnify and hold the Insight Timer Parties harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any claims relating to your violation of this provision, including any claims that you provided other users Healthcare Services.
By submitting Teacher Content through the Services, you grant Insight Timer a worldwide, non-exclusive, sublicensable and transferable license to use and exercise all rights in the Teacher Content (including your name, image, and likeness, to the extent they appear in the Teacher Content ) in connection with this site, the Services and our (and our successors’ and assigns’) businesses. For clarity, you are not transferring ownership of the Teacher Content to Insight Timer, and this license grant does not restrict you from granting licenses to others. We will stop displaying your Teacher Content on the Services promptly upon your request; if you wish to make such a request, please contact us at publishers@insighttimer.com and permit us a reasonable period of time to remove Teacher Content accordingly. Insight Timer may also aggregate information or data related to the Teacher Content (including, for example, how users interact with your Teacher Content on the Services) (“Aggregated Data”) and use, retain and make available such Aggregated Data to evaluate and improve the Services.
If you are a Teacher, the Teacher Content you submit on the Service can earn revenue through various avenues (our “Earn Structure”), described in our Earn FAQs. Our Earn Structure is subject to change, provided that we will inform you of any material changes that would affect you, and you will have an opportunity to remove your Teacher Content should you not agree with the new Earn Structure. If you voluntarily (i) terminate your Teacher account or (ii) remove Teacher Content, then we shall pay you the revenue your Teacher Content has earned (if any) prior to its or your removal from the Service in accordance with our then-current Earn Structure; provided that prior to such termination or removal of Teacher Content, neither you nor your Teacher Content is in violation of these Teacher Terms. If you or your Teacher Content is in violation of these Teacher Terms, such termination or removal shall constitute a “Termination Event” (defined below).
We reserve the right to determine and change the categories in which your Teacher Content appears, and the location of your Teacher Content, on the Service, at our sole discretion. Our publication of your Teacher Content is not an endorsement by us of your Teacher Content or a guarantee that your Teacher Content will earn revenue on the Service or attract viewers, and we make no guarantee regarding the success of your Teacher Content in attracting viewers or earning revenue. All Teacher Content, whether pre-recorded or live-stream, must comply with the Terms of Service and our Content Guidelines and Policies. You will be solely responsible for all Teacher Content you submit in any format, and the form, content, and accuracy of your Teacher Content. We may offer live-stream capabilities for Teacher Content as part of the Services, but do not guarantee the availability or quality of live-stream Services. Your use of live-stream Services or any other features or tools we make available to Teachers is subject to the Terms and the disclaimer of warranties, limitation of liability and indemnification provisions in the Terms of Service.
We reserve the right to remove any Teacher Content that we, in our sole discretion, determine does not comply with the Terms of Service or Content Guidelines and Policies or that we otherwise determine is inappropriate for the Service. We have the right but not the obligation to monitor live-stream Teacher Content you submit, and to remove or disable access to any Teacher Content at any time and without notice. You agree that you shall not have any claim against us in connection with our rejection or removal of Teacher Content, or the unavailability of the Services. In addition, we reserve the right to terminate your access to the Service and disable any account you have established on the Service in the event that we determine that you or your Teacher Content has triggered serious or multiple user complaints, or you are in violation of these Teacher Terms, the Terms of Service, or the Content Guidelines and Policies (each, a “Termination Event”). If a Termination Event occurs, then Insight Timer shall not be liable to pay you the revenue your Teacher Content has earned (if any) prior to its or your removal from the Service.
Representations and Warranties
You hereby represent, warrant and covenant that: (i) you are over the age of eighteen (18), (ii) you have all right, power and authority to enter into and properly perform under these Teacher Terms, including to make all assignments and grant all licenses granted herein; (iii) the Teacher Content is original to you and shall not be based on any material from a third party, unless agreed by the parties in writing; (iv) the Teacher Content and the exploitation thereof, shall not infringe upon the rights of any third party, including but not limited to trademark, copyright, trade secret, the rights of publicity and privacy and the right against libel or defamation; and (v) the creation, delivery, display and performance of the Teacher Content shall comply with all federal, state and local laws, rules and regulations.
Notwithstanding any provision hereof, for all purposes of these Teacher Terms, each party shall be and act as an independent contractor and not as partner, joint venturer, employer, employee or agent of the other.
